EYBA.AI Terms of Use

1. Who we are and acceptance of these Terms

These Terms of Use ("Terms") govern your access to and use of the EYBA.AI platform, website, applications and related services collectively referred to as the "Service".

By creating an account, purchasing a subscription or otherwise using the Service, you agree to these Terms.

If you use EYBA.AI on behalf of a company or other organisation, you represent that you have authority to act on behalf of that organisation.

In that case, references to "you" or "Customer" include the organisation you represent.

If you do not agree to these Terms, you must not use the Service.

2. Business and professional use

EYBA.AI is primarily designed for businesses, entrepreneurs, business professionals, consultants, researchers, educational institutions and other professional users.

If you qualify as a consumer under applicable mandatory law, nothing in these Terms limits rights that cannot lawfully be excluded or restricted.

3. The Service

EYBA.AI is an AI-assisted business decision-support platform designed to help users evaluate, prioritise and prepare for international market entry and internationalisation.

Depending on the functionality available under your account, the Service may include:

  • internationalisation readiness assessment;
  • market scoring and comparison;
  • market validation;
  • country and market intelligence;
  • business capability assessment;
  • AI-generated analysis and explanations;
  • recommendations and decision-support;
  • reporting; and
  • related business planning tools.

The Service may combine information supplied by you, third-party information, EYBA methodologies, statistical analysis and artificial intelligence.

EYBA.AI supports decision-making. It does not make business decisions on your behalf.

4. Accounts

You must provide accurate and reasonably current information when creating and using an account.

You are responsible for:

  • maintaining the confidentiality of your credentials;
  • activity carried out through your account;
  • ensuring that authorised users comply with these Terms; and
  • notifying EYBA promptly if you reasonably suspect unauthorised access.

You must not knowingly allow unauthorised persons to use your account.

Unless EYBA expressly permits otherwise, independent accounts may only be created by persons aged 18 or older.

5. Subscription plans, billing and cancellation

EYBA.AI may offer free functionality, paid subscription plans and separately agreed institutional or enterprise arrangements.

The features, limits and prices applicable to each publicly available plan are described on the EYBA.AI pricing or subscription interface at the time of purchase.

Paid subscriptions are generally billed in advance on a recurring basis and automatically renew until cancelled, unless the applicable offer or agreement states otherwise.

Stripe Managed Payments

Payments may be processed through Stripe Managed Payments.

For transactions processed through Managed Payments, Stripe and/or Link may act as the merchant of record and handle relevant transaction functions including payment processing, indirect taxes, fraud prevention, disputes and transaction-level customer support.

Additional Stripe or Link checkout and payment terms may therefore apply to the transaction.

These EYBA Terms continue to govern your access to and use of the EYBA.AI Service.

EYBA does not directly store your complete payment card details.

Taxes

Applicable taxes and their treatment are displayed or determined through the applicable checkout process.

Cancellation

You may cancel a recurring subscription using the functionality made available through your account, payment interface or by contacting us.

Unless otherwise stated when you purchase a subscription, cancellation takes effect at the end of the current paid billing period.

Amounts already paid are not normally refunded on a prorated basis for unused portions of a billing period, except where required by applicable law or the applicable merchant-of-record terms.

Price changes

EYBA may change subscription prices.

Where a price change affects an existing recurring subscription, reasonable advance notice will be provided and the new price will apply from a subsequent renewal period unless otherwise stated.

Failed payments

Access to paid functionality may be suspended or limited if a required payment cannot be completed.

6. Acceptable use

You may use EYBA.AI only for lawful business, research, educational or professional purposes.

You must not:

  • use the Service for an unlawful or fraudulent purpose;
  • attempt to gain unauthorised access to EYBA systems or another user's account;
  • circumvent technical or subscription-based usage limits;
  • introduce malware, malicious code or harmful automated traffic;
  • interfere with the security, integrity or operation of the Service;
  • reverse engineer or attempt to extract proprietary source code or scoring logic except where mandatory law expressly permits this;
  • systematically scrape or reproduce EYBA datasets, reports or proprietary content for resale;
  • submit information that you do not have the right to use;
  • infringe the intellectual property, confidentiality, privacy or other rights of another person;
  • use the Service to make unlawful automated decisions about individuals; or
  • use EYBA.AI for a purpose materially different from the international business and decision-support purposes for which the Service is designed.

Reasonable integrations and ordinary use of EYBA.AI outputs in your own business activities are not prohibited by this section.

7. Your Data

"Your Data" or "Customer Content" means information, responses, files, prompts, documents and other material that you or your authorised users submit to EYBA.AI.

You retain your rights in Your Data.

By submitting Your Data, you grant EYBA only the rights reasonably necessary to:

  • host and store it;
  • process it;
  • analyse it;
  • transmit relevant portions to authorised service providers;
  • generate the functionality, analyses and outputs you request;
  • provide customer support;
  • maintain the security and integrity of the Service; and
  • comply with applicable legal obligations.

This permission exists only for as long as and to the extent necessary for these purposes or otherwise permitted under these Terms and our Privacy Policy.

You are responsible for ensuring that you have the necessary rights and legal basis to submit Your Data to the Service.

8. Confidential business information

EYBA.AI may be used to analyse commercially sensitive information concerning your business.

EYBA will use appropriate technical and organisational measures designed to protect Customer Content against unauthorised access, disclosure or loss.

EYBA will not intentionally disclose confidential Customer Content to third parties except:

  • to authorised service providers where necessary to provide the Service;
  • where instructed or authorised by the Customer;
  • where required by law; or
  • where information has been aggregated or de-identified so that it no longer reasonably identifies the Customer or relevant individuals.

9. Artificial intelligence

Certain EYBA.AI features use artificial intelligence, including third-party large language models such as the Anthropic Claude API.

Where required by applicable law, users will be informed when they are directly interacting with an AI-powered system.

AI-generated or AI-assisted content may contain:

  • errors;
  • omissions;
  • outdated information;
  • incorrect assumptions; or
  • outputs that do not fully reflect the Customer's business circumstances.

AI systems may also produce different outputs from similar inputs.

You should therefore independently assess information that is material to a significant business decision.

EYBA.AI is a decision-support tool and not an autonomous decision-maker.

10. Market information and third-party data

EYBA.AI may use or display information originating from third-party sources, public databases, APIs, statistical sources, market information providers or other external sources.

Such information may include:

  • economic data;
  • trade statistics;
  • country information;
  • market data;
  • regulatory information;
  • demographic information;
  • company information; and
  • other business intelligence.

EYBA seeks to use relevant and credible information sources but cannot guarantee that third-party information is always complete, current or error-free.

External information may change after it has been collected or presented by the Service.

Where material to a decision, the Customer should independently verify relevant regulatory, tax, legal, customs, certification or other requirements.

11. Business recommendations and results

EYBA.AI helps structure and evaluate international business decisions.

An EYBA.AI score, recommendation, ranking, analysis or market opportunity does not constitute a guarantee of:

  • successful market entry;
  • sales;
  • revenue;
  • profitability;
  • distributor or customer availability;
  • regulatory approval;
  • investment return; or
  • any other commercial outcome.

Business results depend on factors that may be uncertain, incomplete or change over time.

The Customer remains responsible for its final business decisions.

12. No regulated professional advice

Unless EYBA expressly agrees otherwise in writing, EYBA.AI does not provide legal, tax, accounting, investment or regulated financial advice.

Information concerning such matters is provided only as general business decision-support information.

Professional advice should be obtained where appropriate for a material decision.

13. Intellectual property

EYBA OÜ and its licensors retain all intellectual property and other rights in and to EYBA.AI, including:

  • software;
  • platform architecture;
  • visual design;
  • workflows;
  • proprietary databases;
  • scoring methodology;
  • frameworks and models;
  • templates;
  • documentation;
  • branding; and
  • EYBA-created content.

Nothing in these Terms transfers ownership of EYBA's underlying intellectual property to the Customer.

Reports and outputs

You may use reports, analyses and other outputs generated specifically for your account for legitimate business purposes, including sharing them within your organisation and, where appropriate, with professional advisers, investors, partners and other business stakeholders.

You may not systematically resell, republish or commercially redistribute EYBA proprietary datasets, methodologies or substantially reproduced platform content as a standalone product without EYBA's written permission.

Feedback

If you voluntarily provide suggestions or feedback about EYBA.AI, EYBA may use that feedback to develop or improve the Service.

Confidential Customer Content will not be treated as general product feedback merely because it was submitted through EYBA.AI.

14. Aggregated and de-identified information

EYBA may generate aggregated or de-identified statistics concerning the use and performance of EYBA.AI.

Where such information no longer identifies a Customer or individual, EYBA may use it for:

  • analytics;
  • benchmarking;
  • research;
  • development of EYBA methodologies;
  • product improvement; and
  • development of new functionality.

15. Data protection

EYBA processes personal data in accordance with the EYBA.AI Privacy Policy and applicable data protection law.

Where a business Customer acts as controller and EYBA processes personal data on the Customer's documented instructions, EYBA may act as a processor.

A separate Data Processing Agreement may apply where required.

16. Service availability and changes

EYBA aims to provide reliable access to EYBA.AI but does not guarantee uninterrupted availability.

Temporary interruptions may occur because of:

  • maintenance;
  • security requirements;
  • software updates;
  • third-party infrastructure;
  • internet failures;
  • technical incidents; or
  • circumstances outside EYBA's reasonable control.

EYBA.AI is an evolving software service.

EYBA may add, modify or discontinue functionality where reasonably necessary for product development, security, legal compliance or technical reasons.

Where a change materially reduces paid functionality during an active subscription, EYBA will seek to provide reasonable notice where practicable.

17. Suspension and termination

You may stop using the Service or close your account at any time, subject to applicable subscription and billing terms.

EYBA may suspend or terminate access where reasonably necessary because of:

  • a material breach of these Terms;
  • unlawful or abusive use;
  • a material security risk;
  • non-payment;
  • repeated attempts to circumvent Service restrictions; or
  • a legal or regulatory requirement.

Where reasonably possible, EYBA will provide notice before terminating an account and an opportunity to correct a remediable breach.

Upon termination, your right to use the Service ends.

Certain provisions that by their nature should continue after termination, including intellectual property, confidentiality, liability and governing-law provisions, will survive termination.

Customer Content will be handled after termination in accordance with the Privacy Policy, applicable account functionality and legal retention requirements.

18. Disclaimer

EYBA provides the Service using reasonable professional and technical care.

However, EYBA.AI relies partly on third-party information, software infrastructure and artificial intelligence technologies.

To the extent permitted by applicable law, EYBA does not guarantee that:

  • all information or analysis will be complete or accurate;
  • every third-party data source will always be current;
  • AI-generated content will always be correct;
  • the Service will operate without interruption; or
  • use of the Service will produce a particular business outcome.

Nothing in these Terms excludes any warranty or obligation that cannot lawfully be excluded.

19. Limitation of liability

To the maximum extent permitted by applicable law, EYBA will not be liable for indirect or consequential loss, including loss of anticipated profit, revenue, business opportunity or savings, resulting from use of the Service.

For paid Services, EYBA's aggregate contractual liability arising out of or relating to the Service will not exceed the total amount paid for the relevant EYBA.AI Service during the twelve months preceding the event giving rise to the claim.

Any limitation applies only to the extent permitted by law.

Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by mandatory law, including liability arising from intentional non-performance or any other liability that cannot lawfully be limited.

20. Changes to these Terms

EYBA may update these Terms where reasonably necessary because of changes to:

  • the Service;
  • applicable law;
  • technology;
  • security requirements;
  • subscription arrangements; or
  • third-party services.

The current version will display its last-updated date.

If a change materially affects an existing paid subscription, EYBA will provide reasonable notice where required.

Continued use after updated Terms take effect constitutes acceptance of the updated Terms to the extent permitted by applicable law.

21. Individual agreements

If EYBA and a Customer enter into a separately negotiated written agreement, order form or institutional agreement, that agreement will prevail over these Terms to the extent of any direct conflict.

22. Governing law and disputes

These Terms are governed by the laws of the Republic of Estonia.

The parties should first attempt in good faith to resolve any dispute through direct communication.

Unless mandatory law requires otherwise, disputes that cannot be resolved by agreement are subject to the jurisdiction of the competent courts of Estonia.

Mandatory consumer rights, where applicable, are not affected by this provision.
